Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Starphere Capital website, dashboard, and related services (collectively, the "Platform"), operated by Starphere Capital ("we," "us," "our"). By creating an account, depositing funds, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform. By registering, you represent that all information you provide during sign-up and identity verification (KYC) is accurate, current, and complete, and that your use of the Platform complies with the laws of your country of residence.

3. Nature of the Platform & Investment Risk

Starphere Capital connects investors with independent film and media projects seeking funding. Investing in film and entertainment projects is inherently speculative and carries a high degree of risk, including the possible loss of some or all of your invested capital. Past performance of any project, plan, or portfolio is not a reliable indicator of future results.

No investment offered through the Platform is guaranteed. Projected returns, funding targets, and production timelines shown on the Platform are estimates only and may change due to factors outside our control, including production delays, distribution outcomes, and market conditions. You should only invest funds you can afford to lose and are encouraged to seek independent financial advice before investing.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@starpherecapital.online if you suspect unauthorized access to your account. We are not liable for losses arising from your failure to safeguard your credentials.

5. Deposits, Withdrawals & Fees

Deposits are credited to your account balance after confirmation through our supported payment methods and are subject to review before funds become available for investment. Withdrawal requests are processed after identity verification and internal review, and may be subject to processing fees, minimum thresholds, and standard processing times disclosed on the Platform. We reserve the right to delay or decline a withdrawal where required for fraud prevention, compliance, or verification purposes.

6. Know Your Customer (KYC) & Anti-Money Laundering (AML)

We are required to verify the identity of our users and may request supporting documentation (such as government-issued ID or proof of address) at any time. We reserve the right to suspend or restrict an account pending verification, and to report suspicious activity to the relevant authorities in accordance with applicable law.

7. Prohibited Conduct

  • Providing false, misleading, or fraudulent information during registration or verification.
  • Using the Platform for money laundering, terrorist financing, or any unlawful purpose.
  • Attempting to interfere with, disrupt, or gain unauthorized access to the Platform or other users' accounts.
  • Circumventing or attempting to circumvent any security or verification measure.
  • Using automated systems (bots, scrapers) to access the Platform without our written consent.

We reserve the right to suspend or terminate any account, with or without notice, that we reasonably believe violates these Terms.

8. Intellectual Property

All content on the Platform — including logos, trademarks, project descriptions, graphics, and software — is the property of Starphere Capital or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent.

9. Limitation of Liability

To the fullest extent permitted by law, Starphere Capital, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or investment capital, arising from your use of the Platform or participation in any project listed on it. Our total liability for any claim arising out of these Terms is limited to the amount of fees you paid to us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or for legal, regulatory, or operational reasons. We will post the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

12. Termination

You may close your account at any time by contacting support. We may suspend or terminate your access to the Platform at our discretion, including for violation of these Terms, suspected fraud, or as required by law. Termination does not affect any rights or obligations that accrued prior to termination.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws applicable in our jurisdiction of incorporation, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform shall first be addressed through good-faith negotiation between the parties before pursuing formal legal action.
